Are you using a PCI sound card rather than the onboard sound? The onboard is listed as "ADI AD1888; 5.1 channel audio" & IMO, it's much better than "C-Media CMI8738/C3DX Audio".
If you are using a PCI soundcard, did you disable the onboard sound in the BIOS? The drivers for the onboard can be found here:

Windows xp code28 driver not officially signed

Some companies just don't go through the extensive process to get the Microsoft stamp of approval for their device drivers. Usually, the setup instructions for the device you are trying to install will include a heads-up that you must ignore this warning.

I haven't had any problem with a driver "not officially signed" yet. If you are installing from an original disk that came with your hardware device, or from the comany's website, I would just ignore that warning message and install anyway.

I have no wireless connection after re-installing xp device manager says :- ethernet controller - network controller :- video controller :- video controller (vga compatable) drivers are not installed...

do you have the driver cd's if yes then you can install it using that because after reinstallation the drivers has to be installed otherwise the system wouldn't work

Pci modem shows "driver for this modem not installed (code28) how do i reinstall/update?

Control panel-->Computer management-->Device manager.
Find your modem there and uninstall the driver and reinstall.

It means the sound drivers are not installed.
Just let me know the maker name and exact model no of your desktop  or laptop....
